Article I. NAME
The name of this association shall be the Empire State Meat Goat Producers
Association.
ARTICLE II. ADDRESS
The address of the organization shall be PO Box 924, Corning, New York
14830. This address may be changed by a majority vote of the Directors.
ARTICLE III. PURPOSE AND OBJECTIVES
To establish an organization that will meet the needs of meat goat owners
and their herds in New York and surrounding states by:

Providing a
forum for the exchange of information and ideas on meat goats.

Coordinating
and disseminating meat goat marketing information.

Working with
federal, state and local agencies to facilitate meat goat agricultural
enterprises.

Promoting the
meat goat industry through shows and seminars.
ARTICLE IV.
MEMBERSHIP
Membership is open to any person regardless of race, color, national
origin, gender religion, age, disability, political beliefs, sexual
orientation and marital or family status, subject to the provision of the
by-laws and who agrees to the constitution and by-laws, and to procedures
and regulations adopted by the association at either a Board of Directors
or membership meeting.
ARTICLE V: OFFICERS AND BOARD OF DIRECTORS

Officers shall
be a President, Vice-President, Secretary and Treasurer.

There will be
Directors who shall be elected as prescribed by the by-laws.

3. There may
be ex-officio board members elected as prescribed by the by-laws.

The Board of
Directors shall consist of the President, Vice-President, Secretary,
Treasurer, four Directors, the webmaster and any ex-officio board
member.

The executive
board shall consist of the President, Vice-President, Secretary and
Treasurer who shall handle the routine business on behalf of the Board
of Directors between meetings.
ARTICLE VI.
MEETINGS

There shall be
at least two membership meetings yearly held during the months of March
and November.

The Board of
Directors shall meet at least four times annually.

Special
meetings of the general membership and the Board of Directors may be
called as specified in the by-laws.
ARTICLE VII.
LIABILITY
-
The property
of members and officers shall not be subject to payment of corporate
debts of this organization whatsoever.

The amount of
indebtedness which may be incurred by an officer or committee shall in
no case exceed the amount appropriated for use by the membership or the
Board of Directors.

The amount of
indebtedness of this organization shall be limited to the funds within
the treasury.

The following
pertains to the general treasury. The President may obligate up to two
hundred dollars ($200). A majority vote of the Board of Directors shall
be required for any single obligation that exceeds two hundred dollars
($200). A majority vote of the members present at a membership meeting
shall be required for any single obligation that exceeds fifteen hundred
dollars ($1500).

The President
and Secretary each shall be allocated annually a fifty dollar ($50)
petty cash fund for mailings, office supplies, etc. Upon proper
documentation the Executive Board may authorize additional funds as
needed.
ARTICLE VIII.
AMENDMENTS
The constitution may be amended by a two-thirds majority of votes cast by
the members present at a membership meeting or by mail ballots received by
a specified date, provided that all members are notified of the amendment
in writing at least thirty days before the ballot on any proposed
amendment.
